What is a Certificate of Good Standing? (UK 2026 Guide)

In the UK, a Certificate of Good Standing (COGS)—now officially referred by Companies House as a Certified Certificate with a Summary Statement—is an official document that verifies a company is active, compliant, and legally authorized to conduct business.

Think of it as a "clean bill of health" for your business. It confirms to third parties that your company has met its statutory obligations and is not currently facing any legal action to be removed from the official register.

What the Certificate Proves

A standard certificate issued by Companies House confirms three critical facts:

Unbroken Existence: The company has existed continuously since its date of incorporation.

No Pending Strike-Off: Companies House is not currently taking any action to dissolve the company or remove it from the register.

Operational Status: To the best of the Registrar’s knowledge, the company is not in liquidation, subject to an administration order, or under the management of a receiver.

Who Needs a Certificate of Good Standing?

While not a legal requirement for day-to-day trading within the UK, you will likely be asked for one in the following scenarios:

International Business: If you are opening an overseas branch or entering into a contract with a foreign company, they will require a COGS (often with an "Apostille" stamp) to prove your UK entity is legitimate.

Banking and Finance: Banks often require a recent certificate (usually no more than 3 months old) before opening a business account or approving a high-value loan.

Investors and Partners: Potential investors or partners may request the certificate as part of their due diligence process to ensure they are dealing with a compliant business.

Government Tenders: High-stakes contracts often require proof of good standing as a pre-qualification step.

Eligibility Requirements in 2026

Not every company can obtain a certificate. As of 2026, Companies House maintains strict eligibility criteria:

Up-to-Date Filings: You must have filed your most recent Annual Accounts and Confirmation Statement.

"Natural" Director: A private limited company must have at least one director who is an individual (a "natural person"), not just another company.

Statutory Compliance: All fees must be paid, and required information regarding ownership and control must be current on the public record.

What Information is Included?

When ordering your certificate, you can choose to include additional "certified facts" to provide more detail to the requester:

Company Name and Registration Number

Date of Incorporation

Registered Office Address

Names of Current Directors (and Secretaries, if applicable)

Company "Objects" (the purpose of the business, if defined)

Summary Statement: This is the specific wording that confirms the "Good Standing" status.

How to Obtain One

You can order a certificate directly from the Companies House "Find and Update Company Information" service.

Standard Service (£22): Usually processed and dispatched within 10 working days.

Express Service (£65): If ordered before 11 AM, the certificate is dispatched the same working day via first-class post.

Note on Validity: Most organizations will only accept a Certificate of Good Standing that has been issued within the last three months. Because a company's status can change quickly, these documents are treated as "perishable" evidence of compliance.
